Export your members
In Restrict Content Pro, open the export screen under Tools and download the memberships CSV.
Import them into Memberships
Copy user IDs, Memberships and dates into the import template and upload it with Import Users & Memberships.
Rebuild your access rules
Restrict pages, posts and categories by Membership, and swap the [restrict] shortcode for the Ultimate Membership Pro one.

Yes. Your members are WordPress users, so their accounts and passwords stay as they are. Export their memberships from Restrict Content Pro and import them into Ultimate Membership Pro with a CSV.
Can I keep my membership levels and prices?
